Terms of Service

By creating an account or accessing ColorInvoice (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and ColorInvoice ("we", "us", or "our").

You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity.

ColorInvoice is a cloud-based, white-label invoicing platform designed for freelancers, agencies, and small businesses. The Service includes, but is not limited to:

• Invoice creation, management, and delivery via email or shareable links
• Client relationship management (mini-CRM)
• Service catalog and item inventory
• Custom branding, logo upload, and brand color configuration
• Custom SMTP integration for email delivery
• Custom sender domain configuration
• Team collaboration with Role-Based Access Control (RBAC)
• Multi-currency support and tax configuration
• Payment tracking, partial payments, and financial reporting

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

To use the Service, you must create an account by providing a valid email address and setting a secure password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breaches

You must not create accounts for the purpose of abusing the Service, impersonating another person, or engaging in fraudulent activity. We reserve the right to suspend or terminate accounts that violate these Terms.

ColorInvoice offers a 5-day free trial for new users. After the trial period, continued access to the Service requires an active paid subscription.

Subscription Plans: We offer monthly and yearly billing cycles. Pricing is displayed on our website and within the application. All prices are inclusive of applicable taxes unless otherwise stated.

Payment Processing: Payments are processed securely through Paystack. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle.

Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No prorated refunds are provided for partial billing periods.

Price Changes: We reserve the right to change our pricing at any time. Price changes will be communicated to existing subscribers at least 30 days in advance.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:

• Use the Service for fraudulent invoicing, money laundering, or any illegal financial activity
• Send spam, phishing emails, or malicious content through the Service
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Overload, disable, or impair the Service or its infrastructure
• Use the Service in a way that could harm the reputation or operations of ColorInvoice

We reserve the right to investigate and take action against users who violate this policy, including account suspension or termination and reporting to law enforcement authorities where applicable.

The Service, including its design, code, features, branding, icons, documentation, and all related materials, is the exclusive intellectual property of ColorInvoice and is protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain full ownership of all data, invoices, client information, and content you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of operating the Service.

White-Label License: Your subscription grants you a non-transferable license to apply your own branding to invoices and client-facing communications generated through the Service. This license does not transfer ownership of the underlying platform technology.

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

We implement enterprise-grade security measures including encryption, tenant isolation, and strict access controls to protect your data. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

We may suspend or terminate your account at our sole discretion if we have reason to believe you have violated these Terms. Upon termination:

• Your access to the Service will be immediately revoked
• You may request an export of Your Content within 30 days of termination
• After 30 days, we reserve the right to permanently delete all data associated with your account

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLORINVOICE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or in-app notification.

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue using the Service.
